The terms behind the service.

Section 01

Agreement to these terms

These Terms of Service (“Terms”) are a binding agreement between you and ScopeSift LLC (“ScopeSift,” “we,” “us,” “our”) governing your access to and use of the ScopeSift takeoff drafting and review service, including the website, application, and related features (collectively, the “Service”).

By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of a company or other organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.

If you do not agree to these Terms, do not use the Service.

Section 02

The Service

ScopeSift uses automated tools, including AI models, to generate draft material quantities and scope from the construction plan sets you upload. You then review, adjust, approve, and export that output.

Drafts require your review

  • The Service produces drafts and estimates, not certified or guaranteed quantities. AI-generated output can contain errors, omissions, and misclassifications.
  • You are responsible for reviewing, verifying, and approving all output before relying on it for bidding, ordering, construction, or any other purpose.
  • You should treat the Service as a tool that assists a qualified estimator, not as a replacement for professional judgment.

We may add, change, or remove features, and we may update, retrain, or replace the underlying measurement engine and AI models at any time as we improve the Service.

Section 03

Accounts and eligibility

You must provide accurate account information and keep it current. You are responsible for safeguarding your login credentials and for all activity that occurs under your account.

Notify us promptly at support@scopesift.com if you suspect unauthorized access to your account.

The Service is intended for professional construction estimating use and is not directed to anyone under 16. You must be able to form a binding contract to use the Service.

A subscription is provided for a single account. If you need multiple users, contact support@scopesift.com about team access; sharing one account's credentials among multiple people is not permitted.

Section 04

Subscriptions, billing, and usage

Paid features require an active subscription. Pricing, included usage, and overage rates are described on our pricing page and in your account.

Billing terms

  • Subscriptions are billed in advance on a recurring monthly basis through our payment processor, Stripe, and renew automatically until canceled.
  • Your plan includes a set number of successful takeoffs per billing cycle. Takeoffs beyond the included allowance are billed as overage at the rate shown in your account. Failed or canceled runs do not count.
  • Included usage does not roll over between billing cycles.
  • You authorize us and Stripe to charge your payment method for all subscription and overage fees. If a payment fails, we may retry the charge and may suspend access to paid features until the balance is resolved.

You can cancel at any time from the billing portal; cancellation takes effect at the end of the current billing period, and you retain access to paid features until then. Except where required by law, fees already paid are non-refundable, and we do not provide prorated refunds for partial periods or unused included takeoffs.

We may change pricing or plan features. We will give reasonable advance notice of material changes, and changes take effect on your next billing cycle after the notice period.

Section 05

Your content

“Your Content” means the plan sets, drawings, images, notes, scope selections, quantities, and other materials you upload to or create in the Service. As between you and us, you retain all rights to Your Content.

You grant us a limited, non-exclusive license to host, process, transmit, and display Your Content solely to operate and provide the Service to you, including sending the portions needed for a specific task to the service providers described in our Privacy Policy.

We do not use Your Content to train third-party AI models, and we do not sell Your Content. Our handling of Your Content is described in the Privacy Policy.

You represent that you have the rights necessary to upload Your Content and to grant this license, and that Your Content and your use of the Service do not infringe any third party's rights or violate any law.

Section 06

Acceptable use

You agree not to:

Prohibited conduct

  • Use the Service in violation of any applicable law or regulation, or to infringe the intellectual property or privacy rights of others.
  • Upload content you do not have the right to upload, or content that is unlawful, malicious, or harmful.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, scrape, resell, or build a competing product from the Service except to the extent this restriction is prohibited by law.
  • Circumvent usage limits, subscription gating, or security features, or share a single account among multiple users.

We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to other users, third parties, or us.

Section 07

Our intellectual property

The Service, including its software, models, design, and content (excluding Your Content), is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms during your subscription.

Feedback you choose to provide about the Service is voluntary, and we may use it without obligation to you.

Section 08

Third-party services

The Service relies on third-party providers, including cloud hosting and storage, authentication and database providers, payment processing (Stripe), and AI and computation providers, as described in our Privacy Policy. Your use of the Service may be subject to those providers' terms, and we are not responsible for third-party services we do not control.

Section 09

Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any takeoff quantities, measurements, classifications, or other output will be accurate, complete, or suitable for any particular purpose. You are solely responsible for verifying all output and for any decisions made using it.

Section 10

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BIDS, COST OVERRUNS, OR LOST OR INACCURATE DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE OR ITS OUTPUT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Section 11

Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law, except to the extent caused by our own breach of these Terms.

Section 12

Termination

You may stop using the Service and delete your account at any time from your account settings. Deleting your account cancels access and removes your account data, subject to limited retention for backups, logs, and legal or accounting needs as described in the Privacy Policy.

We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends, and the sections of these Terms that by their nature should survive (including content, disclaimers, liability, and indemnification) will survive.

Section 13

Governing law and disputes

These Terms are governed by the laws of the United States and the State of Utah, without regard to conflict-of-laws rules. You agree that the state and federal courts located in Utah will have exclusive jurisdiction over any dispute that is not otherwise resolved, except where applicable law provides otherwise.

Nothing in these Terms limits any rights you may have that cannot be waived under applicable law.

Section 14

Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you by email or through the product. Your continued use of the Service after changes take effect means you accept the updated Terms.
